1. Acceptance of Terms
Welcome to Global Spice Specialty Foods, LLC ("Global Spice," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website at globalspiceco.com (the "Website"), our online shop hosted through Shopify (the "Shop"), and the Global Spice ordering app (the "App," and together with the Website and Shop, the "Services").
By accessing or using our Services, you agree to be bound by these Terms, our Privacy Policy, our Return and Refund Policy, and our Shipping Policy. If you do not agree, please do not use our Services.
2. Eligibility
You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.
The Global Spice ordering App is intended for business customers and qualified individuals. While anyone may download and browse the App, ordering and pricing features are available only to customers who have been invited and approved by Global Spice. The Shop is open to any adult consumer in the United States.
3. The Global Spice Services
The Online Shop (Shopify)
Our online shop offers Global Spice products directly to consumers in the United States. Orders placed through the Shop are accepted subject to product availability and any restrictions described in our Shipping Policy. Products are shipped from our facility in San Antonio, Texas. Shipping rates, delivery timing, and any related terms are described in our Shipping Policy. Returns, refunds, and cancellations are governed by our Return and Refund Policy.
The Ordering App (Business Customers)
- Anyone may download the App and view our general product catalog.
Account Responsibilities
If you have an App or Shop account, you agree to:
- Keep your login credentials confidential
- Not share your account with anyone outside your business or household
- Notify us immediately if you suspect unauthorized access
- Provide accurate business, contact, billing, and delivery information
- Be responsible for all orders placed under your account
4. Pricing, Payment, and Returns
Pricing
Prices shown in the Shop are in U.S. Dollars and may change without notice. Prices shown in the App are for approved business customers only. We make reasonable efforts to keep pricing accurate, but errors may occur. If a pricing error is identified, we will contact you before processing the order and, where required, cancel or refund the affected order.
Payment
- Shop (Consumer Orders): Payments are processed securely through Shopify Payments and its supported payment methods (major credit and debit cards, Shop Pay, Apple Pay, Google Pay, and others). Payment is required at checkout to place an order. Global Spice does not directly store your full credit card or bank account information.
- App (Business Customers): Payment for App orders is processed directly through our office using QuickBooks. Invoices are delivered with each order and payment terms are set on a per-customer basis.
Returns, Refunds, and Cancellations
Returns, refunds, damaged or lost packages, and order cancellations for Shop orders are governed by our Return and Refund Policy. Please review it before ordering.
For App orders and other direct-delivery customers, if you are not satisfied with a product after delivery, please contact your sales representative or email sales@globalspiceco.com. We will work with you on a return, replacement, or credit based on the situation. Because many of our directly-delivered products are perishable, returns must be reported promptly — typically within 24 hours of delivery.
5. Use of the Services
You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:
- Use the Services in any way that violates any applicable federal, state, local, or international law
- Use the Services to transmit any advertising, promotional material, or any other unsolicited communication
- Impersonate or attempt to impersonate Global Spice, an employee, another user, or any other person
- Use the Services to engage in conduct that restricts or inhibits anyone's use of the Services
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Services
- Use any robot, spider, scraper, or other automated means to access the Services or scrape any content
- Reverse engineer, decompile, or attempt to extract the source code of the App or Shop
- Share your login credentials with anyone outside your authorized business or household
- Resell or redistribute Global Spice products without our prior written authorization
- Use the Services to introduce viruses, malware, or any other harmful code
6. Intellectual Property
All content on our Services — including the Global Spice name, logo, product names, photographs, recipes, copy, graphics, the underlying software, and any other material — is owned by Global Spice or our licensors and is protected by copyright, trademark, and other intellectual property laws.
You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of our material without our prior written consent. You may view, download, and print pages from our Website or Shop for your own personal, non-commercial use only.
If you submit content to us (for example, through the contact form or a product review), you grant us a non-exclusive, royalty-free, worldwide license to use that content for the purposes of operating and improving our Services.
7. Disclaimers
Our Services are provided "as is" and "as available." To the fullest extent permitted by law, Global Spice disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Services will be uninterrupted, timely, secure, or error-free
- The information on the Website or Shop is accurate, complete, or current
- Any product descriptions, allergen information, or sourcing details are guaranteed to be correct, though we make reasonable efforts to ensure they are
- Product images perfectly represent the actual product; appearance may vary slightly
Allergen and dietary notice: Many of our products are sourced globally and processed in facilities that handle common allergens. If you have a food allergy or dietary restriction, please contact us before ordering. We do not assume responsibility for allergic reactions or dietary outcomes resulting from product use.
8. Limitation of Liability
To the fullest extent permitted by law, Global Spice, our officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid Global Spice in the twelve (12) months immediately preceding the claim, or one hundred dollars ($100), whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Global Spice and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable law
10. Termination
We reserve the right to suspend or terminate your access to the Services, including your App or Shop account, at any time and for any reason, including but not limited to:
- Non-payment of invoices or chargebacks
- Violation of these Terms
- Conduct we determine to be abusive, fraudulent, or harmful to Global Spice or other customers
- Inactivity over an extended period
Termination does not relieve you of any obligation to pay outstanding invoices or any other amounts owed to Global Spice. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive.
11. Third-Party Links and Services
Our Services may contain links to, or rely on, third-party websites, applications, or services — including but not limited to Shopify (our e-commerce platform and payment processor), GoDaddy (our website host), USPS and UPS (our shipping partners), QuickBooks/Intuit (our accounting software), and social platforms such as Pinterest, Instagram, Facebook, and TikTok. We do not control these third parties and are not responsible for their content, privacy practices, or terms. Your interactions with any third-party site or service are solely between you and that third party.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Bexar County, Texas, and you consent to the personal jurisdiction of those courts.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this page. If the changes are significant, we will provide additional notice (for example, by posting a notice on our Website or notifying account holders by email). Your continued use of the Services after the changes take effect means you accept the updated Terms.
14. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy, Return and Refund Policy, and Shipping Policy, constitute the entire agreement between you and Global Spice regarding the Services.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without restriction.
